Description:

1.1          Sale and Purchase of Assets.  Subject to the terms and conditions of this Agreement, the Seller agrees to sell, assign, transfer, and deliver to the Buyer, and the Buyer agrees to purchase from the Seller at the Closing, certain assets of the Company (the “Assets”), solely in exchange for the Purchase Price. For the purposes of this Agreement, “Assets” shall mean and include:

1. The websites, software, source code, content, clients, and domain names for Medullus LLC
2. Any registered or unregistered trademarks, service marks, copyrights, or other intellectual property or proprietary rights related to the Websites;
3. All of the Seller’s rights under contracts, agreements, commitments, undertakings, arrangements, understandings or such other documents or instruments to the extent of such rights relate to the conduct of the business of the Websites;
4. Any other material assets that are needed for the conduct of the Company. No other tangible or intangible property is being sold to Buyer under this Agreement.;
